All users that create a Chatabee.com account must provide accurate and complete information about themselves.

 

All individuals that create a Chatabee.com account on behalf of a company, organisation or other entity must be an authorised representative of that entity with the authority to bind that entity to the Terms of this agreement, and that individual agrees fully to this agreement on the entity's behalf.

 

Please be aware that all users are solely responsible for all the activity on their accounts. We highly recommend to all users of our service to use "strong" passwords that use upper and lower case letters, numbers and symbols.

 

Users must notify us immediately if there is any breach of security or unauthorised use of their account.

Please be aware that Chatabee.com will not be liable for any losses caused by any unauthorized use of your account.

 

Individuals who are not permitted to use our service

 

Please be aware that all individual and groups below the age of 13 years of age are not permitted to use our service.

 

All users that were previously removed or blocked from using our service are not permitted to access or use our service.

 

If an unauthorised user gains access to your account without your permission you must contact Chatabee.com at info@chatabee.com immediately.

 

Please be aware that Chatabee.com will not be responsible or liable for any financial losses that are caused by an unauthorised use of your account. For this reason please make sure to use a strong password, limit all unauthorised access to your account and to ensure that you computer is free of viruses and spyware.

 

Use of your email address

 

You are required to provide a valid email address when you create your account. By accepting our Chatabee.com Terms of Use you agree and consent to use your email address as the way by which we may send you important service-related notices and important updates, this includes any notices that are required by law.

 

When you create your account you will automatically agree to receiving general updates such as changes to our services, improvements to our service and special offers. If you decide to not receive these general updates you have the option to stop receiving these updates by changing your preferences in your user 'General Settings' page.

Chatabee.com gives you a limited, non-transferable, personal and revocable licence to use the services of www.chatabee.com.

 

By agreeing to this licence you agree that your use of our services is limited to your personal, non-commercial use, and that you are forbidden to use our services or any materials or content for resale or further distribution. Chatabee.com has the right to end and terminate this licence and your use of our services at any time or for any reason or no reason.

 

All content and materials that can be found on Chatabee.com and are a part of our services belong to www.chatabee.com. This includes all materials, including, without limitation, text, graphics, images, illustrations, software, logos, patents, trademarks, copyrights, audio, videos, as well as content belonging to other users and added by those other users. All intellectual property rights relating to those services, content and materials are the exclusive property of Chatabee.com.

 

The services of Chatabee.com are protected by all applicable European copyright laws, intellectual property laws and relevant international treaties and agreements.

 

All users are strictly prohibited and not authorised to themselves or allow any third party to copy, modify, reproduce, reverse engineer or create similar or derivative works of any of our services or content.

 

All users are strictly prohibited and not authorised to rent, lease or sublicense any part of our services or content.

 

All users are strictly prohibited and not authorised to disable or circumvent security or technological features of our services or content.

 

Access to our services

 

To access our online services, users will require their own equipment and internet connection. Chatabee.com does not provide any hardware (Laptop, PC, or other device) or necessary software that users are required to connect to our platform. We are not responsible for any fees charged by your internet service provider or any other third party to connect to and access Chatabee.com.

 

We reserve the exclusive right to stop or partially stop providing our services if we feel this is necessary for any reason or no reason without prior notice. We will not be liable to you or any user of Chatabee.com or any third party for any suspension, modification or discontinuance of all of any part of our services. We reserve the exclusive right at our own discretion to remove or refuse to post any content or materials that you as a user wish to post or submit for posting and to terminate your access to our services at any time for any or no reason, without prior notice and without any liability to you as a user.

 

Fees related to the use of our services

 

Subject to our Terms of Use, the basic services we provide such as creating an account, access to content, our monthly debate topic and user tools are provided to users at no extra cost.

 

Our paid services include the purchase of lessons from teachers and the fees for each individual teacher are listed on their profile page and on their lesson purchase page.

 

Teachers have the full right to change their pricing when they wish to do so. Students must be aware that teacher prices and fees are not fixed and that teachers are able to update their prices for each student whenever they want.

 

By accepting these Terms of Use you accept that teacher prices and fees are flexible and may change over time. You also agree that any page or link with outdated prices and fees do not apply and are invalid. Only current prices and fees listed on the teacher's profile page are valid.

 

Chatabee.com retains the right to make changes to any fees on our platform at any time. The fees that are valid are the fees listed at the time of purchase on the platform.

 

By using our paid services you explicitly agree to these pricing terms and conditions.

 

For students, all charges are inclusive of taxes and are included in the fees that are paid by students upon purchase.

 

For teachers, taxes upon their earnings are the sole responsibility of each individual teacher. Teachers are expected to pay all relevant taxes and government charges that apply to them on their earnings from our platform.

 

All information that you provide in connection with a purchase or transaction with Chatabee.com must be accurate, current and complete.

 

By accepting these Terms of Use you agree to pay all charges incurred by users of your credit card, debit card or other payment method used in connection with a purchase or transaction on Chatabee.com at the prices that were in effect when such charges were incurred.

 

All users have the right to terminate and cancel their Chatabee.com account at any time. To do this you must submit a message requesting to terminate the account to our admin team via your support page within your user account.

 

Please be aware that by accepting our Terms of Use you are accepting that there are no monetary refunds for cancellations and all cancellations will result in the form of credit for our services. This credit may only be used to purchase other services on Chatabee.com. To be clear this means that all credit that is available to a student on their account can only be used to purchase future lessons or other services we provide.

 

If in the event that Chatabee.com terminates or suspends your account due to you breaching these Terms of Use, you agree as a user of our services that you will receive no refunds or exchanges for any unused services or lessons or for anything else. Any outstanding balance on your account will become immediately due and payable upon termination of your account and termination of these Terms of Use.

 

Please note that there is nothing in our terms and conditions that obligates us to extend credit to you or any other third party.

 

By accepting our Terms you agree that all related billing and payment information that you provide to us may be shared by us with companies who work on our behalf for the sole purpose of checking your credit so that we able to service your account correctly.

 

We also have the right to provide your information in response to a valid legal process, such as a subpoena, search warrant and court orders or to defend against legal claims.

 

We are not responsible or liable for any use or disclosure of your information by such third parties mentioned above such as a legal process, search warrant or court order.

 

We reserve the right to pause, stop and terminate our services for any late payments.

 

We retain the right to change our fees and payment policies for our services at any time we need to do so. All new fees will become visible in your account when you make a new purchase. Changes to our fees and payments policies will be posted on Chatabee.com when this is necessary. By continuing to use our services after you have received these policy updates, you agree to any changes to the payment and fees policies mentioned in the update.

 

All users are prohibited from creating multiple accounts for a unique user to simulate or act as a single account with the objective to avoid incurring fees.

 

Users that have previously been prohibited or blocked from using our services are strictly prohibited from creating a new account with us. If we determine that you have created an account with the knowledge that you were previously banned or blocked from using our service we retain the full right to terminate your account and not offer any form of refunds for the services you purchased using that same account.

 

User Restrictions

 

When using our services you must follow all applicable laws and regulations unless stated otherwise by Chatabee.com in writing.

 

You agree to not store, copy, modify or distribute any materials found on Chatabee.com and agree to not permit anyone else to store, copy, modify, distribute or resell any of the materials found on Chatabee.com. All materials found on Chatabee.com are exclusively the property of Chatabee.com and storing, copying, modifying or distributing any of the content found on Chatabee.com for financial gain or for any other reason will be a breach of these Terms of Use.

 

You will not use any automated tools such as robots or spiders to access our services with the aim to store, copy, modify, distribute or resell any Chatabee.com content or any other user's content.

 

You will not rent, lease or sublicense your access to our services to any other person or group. Giving any other person or group access to your account and any content within your account is a direct breach of these terms and conditions.

 

You agree that the account you have created on Chatabee.com is your own and use your own current and up to date personal information and for your own exclusive personal use.

 

You agree to not circumvent or disable any security features or our services, remove, alter or obscure any proprietary notices on any part of our Chatabee.com platform.

 

You agree to not transmit any form of spam, chain letters or other unsolicited emails, use the service for any commercial solicitation purposes or impersonate other users or in any way misrepresent or attempt to misrepresent you affiliation with a person, group or entity, hide or attempt to hide your true identify or conduct any type of fraud.

You agree that recording or streaming or distributing any part of a lesson with a teacher with or without their consent is a direct violation of these Terms of Use.

 

You agree that the use of our services or part of our services by any third party, this includes any form of integrations or incorporation of our services within another website or service is strictly prohibited without our prior written consent.

 

Privacy Policy and website security

 

Your personal information is stored on our databases and this information is protected using multiples layers of security. Our collection and use of this information is governed by our Privacy Policy which can be found at www.chatabee.com/privacy.php.

 

We take great care to protect your personal information. However, we cannot guarantee that unauthorised third parties will never be able to get through our security measures and use your personal information for unauthorised purposes.

You acknowledge that by agreeing to these Terms that you provide your personal information at your own risk.

 

User postings and uploads to our services

 

All users have the opportunity to post and upload content on our platform. This includes content and exercises created by teachers.

 

You agree that you or any users of our service that upload content to Chatabee.com, referred to as "User Content", which includes all text, images, videos that are uploaded, created or submitted and all intellectual rights therein related to that 'User Content' agree to grant Chatabee.com a perpetual, non-exclusive, fully paid, royalty-free, irrevocable, sub-licensable, worldwide licence and right to dislpay, use, perform, reproduce, modify, distribute and create derivative works of all such 'User Content'.

 

You agree that your name, voice, and likeness as can be found in the 'User Content', in any form of media now existing or developed in the future, that we are in no obligation to provide you with any form of attribution or compensation to you or any third party for the use of your name, voice and likeness on Chatabee.com or any successor to Chatabee.com or future affiliate businesses.

 

You agree to grant all users of our service a non-exclusive license to access and view any 'User Content' that you might create or upload to our service and to use, reproduce, modify or display any such 'User Content'.

9. Attempt to harm Chatabee.com in any way or any third party in any way;

 

10. Violate any applicable local, national or international laws or regulations, that it be intentionally or unintentionally.

The "Chatabee" name, the Chatabee.com logo and any products or service names displayed on Chatabee.com are trademarks of www.chatabee.com and its licensors, and may not be copied, imitated or used, without the prior permission of Chatabee.com or the applicable trademark holder.

 

All users of our services are prohibited from using any "hidden text" or meta-tags on their own blogs, websites or other platform that use the name "Chatabee" or any other name or trademark without our prior permission.

Please be aware that you or any user that may use your account are strictly prohibited from using our services if they are a resident of a country embargoed by the United Kingdom, or if you are an entity or person that is blocked or denied access by the government of the United Kingdom.

 

You agree to indemnify and compensate us, our suppliers and our respective employees and representatives for any costs, damages, liabilities and expenses that may arise from (i) your use of our services and service content, this includes any data or content that is transmitted or received by you. (ii) your violation of any applicable law or regulation (iii) any claims or damages that may arise as a result of any of your user content or any that is submitted via your account (iv) your violation of any rights of a third party (v) any access by any other party and use of our service and service content using your password, username, or relevant security codes. (vi) your violations of these Terms of Use.

 

Copyright Notice

 

At Chatabee.com we try to respect artist and content rights as much as possible, if you believe that your copyrighted content has been used on our site in a way that constitutes a copyright infringement, please notify us of such infringement by email at info@chatabee.com, please include the following details as required by the European Union Copyright directive Directive ("EUCD").

 

For any complaint to be valid under the EUCD, the following information must be provided in writing:

1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner;
2. Identification of the copyrighted work that you claim has been infringed and where it is located on the Service;
3. Information reasonably sufficient to permit Chatabee.com to contact you, such as your address, telephone number, e-mail address;

Chatabee.com also retains the full right at its sole discretion to limit or terminate the access to our service of any users who in any way infringe on any of the intellectual rights of others.

This agreement, Terms of Use and any licences and rights granted under the terms of this agreement, may only be assigned, transferred, allocated or determined by Chatabee.com without restrictions and by no other party. Any attempt to transfer, assign, or allocate any of these licences or rights are a violation of these Terms of Use and will be null and void.

 

You agree that the enforcement of these Terms of Use will be governed and determined by the laws of the United Kingdom of Great Britain and no other country or system of laws.

 

The venue and exclusive jurisdiction for any claims arising out of or relating to these terms and conditions and your use of our service or service content will lie in the courts located in the United Kingdom of Great Britain. You Irrevocably agree to submit to the jurisdiction of such courts for any actions in which we might seek any form of equitable relief in a court of competent jurisdiction to prevent or block any current or potential threat of misappropriation, infringement, or violation of our trademarks, copyrights, trade secrets, patents or other intellectual property or property right, as set forth in our arbitration provision below.

 

Agreement relating to arbitration

 

In the event that Chatabee.com has not been able to resolve a dispute it has with you relating to these Terms of Use and any breach of these Terms after attempting to do so informally and in an amicable manner, we each agree to resolve any disputes, claims or other controversy relating to this agreement and the Terms within this agreement and any breach of these Terms of Use , both parties agree by binding arbitration by the London Court of International Arbitration (LCIA).

The award determined by the arbitrator will include all reasonable legal fees, costs of arbitration, and costs of expert or witnesses and any judgement on the award determined by the arbitrator may be entered in any court of competent jurisdiction.

 

By agreeing and entering into this agreement, you and Chatabee.com are both waiving the right to a trial by jury or to participate in a class action.

 

You and Chatabee.com both agree that all claims must be brought in each parties' individual capacity, not as a class member or plaintiff in any class or representative proceeding.

 

Procedures for notifications

 

Chatabee.com has the right to provide notifications that are required by law or for business related purposes as well as for marketing purposes. This may be via written form, email or hard copy notice or by posting these notices and updates on your Chatabee.com account.

 

All users of Chatabee.com have the right to opt out of certain updates and notifications such as marketing updates and other service related updates. All options to opt in and opt out can be found in the settings page of each user.

 

Agreement that applies to entire terms and conditions

 

These Terms of Use and any amendments to these Terms and any other agreements you enter into with Chatabee.com, shall constitute the entire agreement between you and Chatabee.com concerning the service.

 

If any provision or part of our Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions in these Terms of Use, all remaining provisions will remain in full force and effect.

 

If a court of competent jurisdiction may find any right or provision within these Terms of Use to be invalid, unenforceable, or illegal the remaining rights and provisions will remain in full effect.

 

If we fail to enforce any right or provision that can be found in these Terms of Use, it will not constitute a waiver of that specific right or provision unless this is acknowledged and agreed by us in writing.
